AMENDED CONSTITUTION AND BY-LAWS OF FLXIBLE OWNERS INTERNATIONAL

ARTICLE I Name of the Organization

Be it known that the organization herein described shall be known as the Flxible Owners International.

 

ARTICLE II Object of the organization

The primary object of this organization shall be for fellowship with other Flxible owners and Flx enthusiasts.

 

ARTICLE III Membership

Section A. Membership is open to all Flxible Owners and enthusiasts. There will be no Commercial Memberships, Commercial Advertising, or Commercial mailings.

Section B. All members, including honorary non-dues-paying members and non-Flxible owners have full right of membership, including the right to vote and hold office, provided current dues are paid.

ARTICLE IV Officers

Section A. The officers of this organization shall consist of a President, Vice-President, Secretary, Treasurer, and a Board of Directors.

    1. The President will preside at all business meetings, appoint all committees and perform all other duties incidental to his office.
    2. The Vice-President will act in the absence of the President.
    3. The Vice President and two other members, appointed by the President, shall serve as the nominating committee prior to all elections.

    4. The Secretary will keep records of the meetings, keep a complete roster of all members and dates they joined the club and report a record of attendance or non-attendance at all rallies.
    5. The Treasurer will receive and pay out all monies belonging to the club upon orders of the body or the President; keep a complete roster of all members and dates they joined the club and report a record of attendance and dues paid upon request, when necessary.
    6. The Treasurer will be responsible for the proper receipt and disbursement of funds of the club, to accept dues and accept all donations on behalf of the club, and to present a detailed financial report to be published annually in the newsletter and made available at each meeting. At any time, any two Board members may audit the books of all financial transactions of the club.

    7. The board of directors shall consist of five (5) members, Husband and/or Wife, and the immediate Past President.

    1. Board members are to be elected at each biennial rally held in Loudonville.
    2. Members will be elected for a two-year term and may not serve more than two consecutive terms.
    3. A Chairman of the Board of Directors, who may be the Immediate Past President unless declined, is to be elected by the Board.

Section B. The officers of this organization, excluding the Board of Directors, shall be elected to one (2) year term and no more than two (2) consecutive terms in the same office.

Section C. The officers of the organization shall be elected at the regular biennial rally held in Loudonville, Ohio in even years.

Section D. In the event of a vacancy in any office, that office shall remain vacant until the next election at the regular biennial rally in Loudonville. In the event of a vacancy in the office of Treasurer, the Secretary shall assume duties of the Treasurer; in the event of a vacancy in the office of Secretary, the Treasurer shall assume those duties.

 

ARTICLE V Meetings or Rallies

Section A. Meetings will be conducted according to Robert’s Rules of Order.

Section B. There will be a minimum of one rally per year.

Section C. There will be a business meeting at all scheduled rallies.

 

ARTICLE VI Amending Constitution & By-Laws

To amend the Constitution of By-Laws of this organization, the change must be submitted in writing to the Secretary to be read at a rally, reread at a second rally, and voted upon at the regular biennial rally held in Loudonville, Ohio. It must be approved by two-thirds (2/3) of the attending membership.

------------- BY-LAWS OF FLXIBLE OWNERS INTERNATIONAL ------------

ARTICLE I Dues shall be set by the Board of Directors. As of July 15, 2006, dues are $40.00 every two years, payable every even year at the beginning of the fiscal year (July 1) or at the Loudonville Rally. Dues are considered delinquent if not paid by October 1, and the member shall lose all rights of membership, including voting, holding office, and receiving the newsletter.

 

ARTICLE II Rally fees will be expenses incurred for a particular rally and be charged per attending adult – excluding parking fees.

GENERAL RULES AND PROCEDURES

 

Definition: General rules and procedures are defined as those rules and procedures approved at any General meeting or Board of Directors meeting of Flxible Owners International which are not set out in the Constitution and By-Laws, and general procedures which are practiced but not set out in writing.

 

Approved July 17, 1994: Name Badges will be made when a member attends a rally for the first time.

Approved August 11, 1996: Ken and Joann Utterback are approved as lifetime non-paying members and Honorary Board Members.

Approved July 22, 2004: Dick and Betty Marsan were voted Honorary, non-dues-paying members and Honorary Board Members.

Approved July 15, 2006: The Newsletter Editor and Webmaster may attend Board meetings as non-voting members.

Approved July 15, 2006: The Board of Directors shall select the design for the t-shirts for each Loudonville rally.

Rally guidelines shall be retained by the Secretary and given to the Trail Boss for each rally. The Trail Boss must keep a record and receipts of all expenditures. Expenses will be divided among the attending adults as the rally fee, unless the Board of Directors decides to pay for all or part. Large expenditures must be approved in advance by the Board of Directors or the President and one Officer.

A membership roster will be included in the newsletter as soon as possible after October 1 of each even year.

Each new member should receive a current member list and a copy of the current Constitution, Bylaws and General Rules and Procedures.

New member information is to be listed in the next newsletter after joining so that all members may keep their list current.

Approved July 19, 2008: Dues for all charter members who no longer own a Flxible coach will be one-half of regular fee.

Approved July 19, 2008. Signatories for the FOI checking account shall be Treasurer, President, and Immediate Past Treasurer.
